These Terms of Service ("Terms") govern your use of the compliance scanning and monitoring services ("Services") provided through check-check.online ("Website") by Scot Thom, operating as Check-Check ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Check-Check provides automated website compliance scanning, monitoring, and reporting services for real estate professionals and brokerages. The Services analyze publicly accessible websites against applicable advertising regulations, fair housing requirements, privacy laws, and industry standards across Canadian provinces (including Ontario, Manitoba, British Columbia, and Alberta) and U.S. states (including Florida and California).
The Services include free compliance scans (limited scope), paid subscription-based scanning and monitoring (full scope), compliance reports, regulatory change alerts, and remediation guidance.
The Services do not constitute legal advice. Compliance reports are informational tools based on automated analysis of publicly available regulations. They are not a substitute for professional legal counsel. We do not guarantee that following our recommendations will ensure full regulatory compliance. You should consult a qualified legal professional for advice specific to your situation and jurisdiction. Our fair housing language analysis uses a warn-not-fail approach and reflects regulatory guidance, not adjudicated interpretation.
To access paid Services, you must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
Paid Services are offered on a monthly or annual subscription basis. Current pricing is published on the Website. Fees may be quoted in Canadian Dollars (CAD) or U.S. Dollars (USD) depending on your location. We reserve the right to change pricing with 30 days' advance notice to existing subscribers. Price changes do not apply to the current billing period.
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
Payment is processed through Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for any applicable taxes, including sales tax, HST/GST, or other taxes required by your jurisdiction.
Free compliance scans provide a limited summary of findings and require an email address for delivery. By requesting a free scan, you consent to receiving the scan results and a limited number of follow-up communications related to the scan findings. You may unsubscribe from follow-up communications at any time using the unsubscribe link provided in each email.
You agree not to: (a) use the Services to harass, defame, or intimidate any person or business; (b) resell, redistribute, or commercially exploit scan results without our written consent; (c) attempt to reverse-engineer, scrape, or extract data from the Services beyond normal use; (d) use the Services to gain unfair competitive advantage by publicly disclosing another business's compliance status without their consent; (e) submit false, misleading, or fraudulent information; (f) use the Services in violation of any applicable law or regulation.
All content, software, algorithms, reports, and materials provided through the Services are the intellectual property of Check-Check. You are granted a limited, non-exclusive, non-transferable license to use the reports for your own internal business purposes. You may share your own compliance reports with your regulatory body, legal counsel, or web developer for remediation purposes.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
The Services scan publicly accessible websites. We do not access password-protected areas, private networks, or non-public content. Our scanning activity is comparable to that of search engine crawlers and complies with standard web crawling practices. By submitting a URL for scanning, you represent that you have a legitimate interest in the compliance status of that website (for example, as its owner, operator, regulator, or prospective client).
Our scanning rules are jurisdiction-specific. We maintain compliance rules for the following regulatory frameworks, among others: RECO (Ontario), WRREB/MSC (Manitoba), BCFSA (British Columbia), RECA (Alberta), Florida DBPR/FREC, California DRE, and HUD Fair Housing Act (federal). We update our rules as regulations change but cannot guarantee real-time accuracy. Check our regulatory change log for the latest updates.
While we strive for accuracy, automated compliance scanning has inherent limitations. Some website technologies (including heavy JavaScript rendering) may prevent complete analysis. Regulatory requirements change over time, and there may be a delay between regulatory changes and updates to our scanning rules. We do not guarantee that our scans will identify every compliance issue, nor that every identified issue constitutes an actual violation. Sites that cannot be fully analyzed receive an "Inconclusive" grade rather than a failing score.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHECK-CHECK AND SCOT THOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Check-Check and Scot Thom from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any actions taken or not taken based on our compliance reports.
We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Services ceases immediately. Sections 3, 10, 14, 15, and 18 survive termination.
We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
For Canadian users: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute shall be resolved in the courts of Ontario or through binding arbitration under the Arbitration Act, 1991 (Ontario), at our election.
For U.S. users: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or in the state or federal courts located in the State of Delaware. You and Check-Check each waive any right to a jury trial.
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Check-Check regarding the Services and supersede all prior agreements and understandings.
